Course Description
This scenario-based program examines mergers and joint ventures from an antitrust perspective. Antitrust experts from Pillsbury Winthrop Shaw Pittman LLP analyze a hypothetical joint venture to determine whether it would pass muster with the antitrust regulatory agencies and discuss issues such as legitimacy of the venture, terms of combination, and the difference between collaboration and collusion. They also cover legal and ethical issues involved in representing a company before the regulatory agencies during an antitrust investigation, including potential criminal penalties, leniency programs for cooperation with the government, representation of individual employees, and waiver of the attorney-client and work-product privileges.
